Program Description
Tax-exempt hospitals have been, and will continue to be, the centerpiece of a national debate questioning the propriety of their tax-exempt status granted by the federal government. Recent compliance analysis has been intense and gone beyond merely collecting information on the amount of charity care provided by tax-exempt hospitals. Compliance analysis include such special projects as review by the IRS of hospitals' governance, compensation practices and compliance with their community benefit obligations, community needs assessments and more. Final reports are still expected in many of these areas. The revised IRS Form 990 along with its many schedules are additional evidence of the added scrutiny and the extensive information gathering exempt hospitals are faced with, all aimed at assessing compliance and determining what, if any, further changes are needed. This focus is not going away and will, in fact, only increase. Each exempt hospital must be aware of its obligations and be able to effectively assess whether corrective steps are needed. This series of programs will familiarize participants with five key areas of compliance. Participants will gain an understanding of the origins of the community benefit obligations and receive information on what are current requirements. Participants will be able to identify governance practices that help solidify exemption, learn what are considered "best practices" and be able to objectively look at what is going on in their organizations to determine if changes are needed. In addition, participants will receive information on what constitutes an excess benefit and learn what steps can be taken to position the hospital to qualify for a reputable presumption that a transaction is reasonable. A review of executive compensation and joint venture practices will be provided, all aimed at providing participants with the information to enable them to assess these transactions to limit risk to the hospital's exempt status.

In addition, for each registered phone connection, participants will receive a Self Assessment Guide for Tax-Exempt Hospitals (SAG) CD covering all five areas and containing step-by-step guidance on how to internally assess the organizations compliance with the Internal Revenue Code, IRS pronouncements and other applicable legal rulings. Each program of the series, like each chapter of the SAG, takes an in-depth look at the requirements, provides a common sense analysis and directs the user through a meaningful process to assess if the hospital is meeting its obligations. It is not necessary to register for the entire series to receive the free tool kit.

Learning Objectives
At the completion of this program, the participant will be able to:
  1. Know what governance practices are suggested and what are considered best practices for tax-exempt hospitals.
  2. Have a clear understanding of the current community benefit obligations for tax-exempt hospitals so the community benefit report appropriately addresses the expectations and requirements of continued exemption.
  3. Understand the meaning of an excess benefit transaction and gain insight on what steps can be taken to position the hospital within the presumption of reasonableness.
  4. Know what falls within the definition of executive compensation, including items other than salary, and gain an understanding on how to avoid private benefit or private inurnment.
  5. Understand how to fundamentally structure business activities with private individuals, including members of the hospital's medical staff, to protect the hospital's tax-exempt status.
  6. Know how to perform a self-assessment of the hospital's activities to identify areas where problems might exist and take corrective action to avoid jeopardizing the hospital's tax-exempt status.

Carl P. Bowman
Carl P. Bowman practices almost exclusively with health care providers on a broad range of matters. Prior to entering the legal profession, Bowman spent 25 years in health care administration, most recently as Vice President for Finance and Chief Financial Officer for a large regional medical center. He has been involved in joint ventures, physician recruitment, managed care related activities, clinic purchases and establishment, reimbursement issues and administrative appeals including Medicare and Medicaid appeals and state reimbursement programs.

Kirk H. Doan
Kirk H. Doan has extensive experience dealing with matters concerning health law, real estate and business law. His experience includes commercial finance, loan closings, workouts, sales, title examination, exchanges, condemnation, zoning and foreclosures. He has extensive experience handling physician and medical practice business issues for many Midwestern physicians, dentists, pharmacists and medical entities including employment, practice acquisition, physician associations, managed care and hospital contracting, ASC construction, and regulatory compliance.

Megan L Gerriets
Megan L. Gerriets joined the firm of Stinson Morrison Hecker, LLP in 2006 as an associate in the General Business Division. While attending Drake University law school, she taught legal research and served on the editorial board of the Drake Law Review. She also competed on Drake Law School’s National Mock Trial Team and the ABA National Moot Court Team. In addition, she coached mock trial on the middle school and high school levels, and taught mock trial for middle school students participating in the Des Moines Gifted and Talented Program.

Wayne B. Henry
Wayne B. Henry is chairman of the Stinson Morrison Hecker, LLP Nonprofit Tax-Exempt Organizations Practice Group. He serves as outside legal counsel for a wide range of non-profit organizations, including hospitals and related entities, colleges and universities, low-income housing, college housing and organizations that are assisting governmental entities with large diverse government projects. His experience encompasses tax-exempt organizations with respect to various organizational and operational issues dealing with business and tax planning, including joint ventures and challenges to exempt status, together with federal audits and litigation.

Patricia A. Zieg
Patricia A. Zieg chairs the Stinson Morrison Hecker, LLP Health Care Group and serves as outside general counsel to several health care providers including health systems, physicians, and tribally owned health centers and nursing homes. Her work includes advising providers on the structuring of ventures including counsel on federal and state anti-fraud and self-referral laws. She also regularly advises health care clients on risk management, medical staff, confidentiality and privacy including HIPAA, licensure and regulatory matters and non-profit entity issues. Her experience includes membership on the ethics committee of an academic medical center which has provided valuable insight into medical ethical issues.
